IntelliWarp Migrate Terms of Service

1. INTRODUCTION

These Terms of Service ("Terms") govern your use of IntelliWarp Migrate's online services, including but not limited to license activation, license validation, and support services (collectively, the "Services") provided by Evil Genius MindWorks LLC ("Company", "we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. SERVICES DESCRIPTION

2.1 License Activation Services

We provide online services to:

Validate and activate license keys
Track license usage against entitlements
Enable license transfers between machines
Provide offline activation codes for air-gapped environments

2.2 Service Availability

Target Uptime: 99.5% availability (excluding scheduled maintenance)
Maintenance Windows: Sundays 02:00-06:00 UTC (when possible)
Notification: 48-hour notice for scheduled maintenance affecting activation

These are targets, not a service level commitment, and no credit or refund is owed when they are not met.

2.3 Offline Operation

The IntelliWarp Migrate software is designed to operate with limited connectivity:

Initial activation requires internet connection
While activated online, the Software checks the license about once a day and holds signed license data valid for at most 7 days; if it cannot reach the Services before that data ends, it stops processing until it can
Counting a new file against a license with a file limit requires a connection to the Services when the file's migration starts; files already counted can be migrated again without one
Offline activation available for environments without internet access: a code issued for one computer, valid until the date it states (at most one year, never beyond the license's own expiration)

3. ACCOUNT RESPONSIBILITIES

3.1 Accuracy

You agree to provide accurate information when:

Purchasing licenses
Registering for support
Requesting offline activation codes

3.2 Security

You are responsible for:

Keeping your license keys confidential
Preventing unauthorized use of your licenses
Notifying us promptly of any security breaches

3.3 Authorized Use

You may only use the Services for legitimate license management of IntelliWarp Migrate software that you have lawfully acquired.

4. PROHIBITED CONDUCT

You may not:

Attempt to bypass, disable, or circumvent license validation
Access the Services through automated means (bots, scrapers) without permission
Interfere with the operation or security of the Services
Impersonate another user or entity
Use the Services for any illegal purpose
Probe, scan, or test vulnerabilities of the Services
Share, sell, or transfer license keys to unauthorized parties

5. INTELLECTUAL PROPERTY

All content, trademarks, and technology associated with the Services are owned by Evil Genius MindWorks LLC or its licensors. These Terms do not grant you any rights to use our trademarks or branding.

6. PRIVACY

Your use of the Services is subject to our Privacy Policy, which describes how we collect, use, and protect your information. By using the Services, you consent to our data practices as described in the Privacy Policy.

7. SERVICE MODIFICATIONS

We reserve the right to:

Modify or discontinue Services with 90 days' notice
Update these Terms with 30 days' notice
Implement new features or restrictions

Continued use after changes constitutes acceptance.

8. TERMINATION

8.1 By You

You may stop using the Services at any time.

8.2 By Us

We may suspend or terminate your access if you:

Violate these Terms
Engage in fraudulent activity
Fail to pay applicable fees
Abuse the Services or support resources

8.3 Effect

Upon termination, your license validation will cease, and the Software stops processing.

9. DISCLAIMERS

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Evil Genius MindWorks LLC from any claims arising from your use of the Services or violation of these Terms.

12. GOVERNING LAW

These Terms are governed by the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in the Commonwealth of Massachusetts.
