IntelliWarp Migrate End User License Agreement (EULA)
Version 2.2 | Effective Date: November 1, 2026
IMPORTANT – READ CAREFULLY
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, referred to as "You" or "Licensee") and Evil Genius MindWorks LLC ("Licensor", "we", "us", or "our"), for the IntelliWarp Migrate software application, which includes the computer software, associated media, printed materials, and any "online" or electronic documentation ("Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL OR USE THE SOFTWARE.
If You accept this Agreement on behalf of an organization, You represent that You are authorized to bind it, and that organization is the Licensee. This applies equally when a reseller, consultant, or other service provider installs the Software and accepts this Agreement for its customer: the customer to whom the License is issued is the Licensee, and the person who accepts does so on the customer's behalf.
1. DEFINITIONS
1.1 "Authorized User" means an individual who is authorized by the Licensee to use the Software under this Agreement, including the Licensee's employees and the contractors and service providers (such as an Authorized Reseller) who operate the Software on the Licensee's behalf.
1.2 "File" means a single QlikView document (.qvw) at a given full file path. A File is counted against your License when its first migration to Qlik Cloud with the Software starts, and it stays counted whether or not that migration succeeds. Migrating a File that is already counted again (including a retry after a failure) does not count again. A copy of the same document stored at another path is another File. Converting a File on your computer without migrating it to Qlik Cloud does not count it. Files counted under one License (for example a Trial License) are not carried over to another License.
1.3 "License Key" means the unique alphanumeric code provided by Licensor that enables the Software functionality.
1.4 "Machine ID" means the identifier the Software derives, by a one-way hash, from the Windows installation identifier of the computer (MachineGuid) and a random value the Software stores protected for the Windows account that runs it. It is not derived from hardware components; replacing hardware does not change it, while a copy of the Software's data folder on another computer or under another Windows account produces a different Machine ID.
1.5 "Migration" means the process of converting and deploying QlikView content to Qlik Cloud using the Software.
1.6 "Installation" means one copy of the Software running on one computer under one Windows account, with its own data folder and its own activation.
1.7 "Order" means the quote, order form, invoice, or other document by which a License is purchased, which states the License Type and, for a Standard License, the number of Files.
1.8 "Authorized Reseller" means a partner that Licensor has authorized in writing to resell Licenses or to deliver services with the Software.
1.9 "Pre-release Software" means any version of the Software that Licensor identifies as beta, preview, release candidate, or evaluation software, or provides for customer beta testing.
2. LICENSE GRANT
2.1 Grant of License
Subject to the terms and conditions of this Agreement and payment of applicable fees, Licensor grants You a limited, non-exclusive, non-transferable (except as stated in Section 2.4) license to:
a) Install and use the Software as one (1) Installation per License, on a single computer or server; b) Use the Software solely for the purpose of migrating QlikView applications to Qlik Cloud, including converting, reviewing, and testing them; c) Process the number of Files permitted by your License Type as defined in Section 2.2; d) Permit Authorized Users to use the Installation, including from their own computers through a web browser over your network when You enable network access. You are responsible for the acts of your Authorized Users and for securing an Installation that You make reachable from the network.
Each additional Installation requires its own License.
2.2 License Types
The Software is available under the following license types:
| License Type | File Limit | Description |
|---|---|---|
| Trial | 3 Files | Free evaluation license for testing purposes, valid for 14 days. |
| Standard | The number of Files stated in your Order | Licensing for the Files of one migration; perpetual. |
| Unlimited | No Limit | Unrestricted file processing for large-scale migrations; perpetual. |
The License issued to You (its License Key and the signed license data the Software receives) states its File limit and, where it has one, its expiration date. Licensor may also issue a License for demonstration, training, or evaluation purposes (for example to an Authorized Reseller for its own use); such a License may be used only for the purpose stated when it is issued and may not be resold.
2.3 License Activation
a) The Software requires activation via License Key and validation against your Machine ID. b) Each License Key may be activated for one (1) Installation at a time. c) Online activation requires internet connectivity to the Licensor's activation servers. d) Offline activation is available for air-gapped environments upon request. Licensor issues an activation code for the activation request the Software produces on the computer to be activated; the code works only on that computer and is valid until the date it states (at most one year, and never beyond the License's own expiration). It is renewed with a new request. While a License with a File limit is activated offline, only Files already counted against it can be migrated; an Unlimited License can be used offline as usual. e) While activated online, the Software checks the License with Licensor's servers about once a day and holds signed license data valid for at most seven (7) days. If the Software cannot reach Licensor's servers before that data ends, it stops processing until it can. Counting a new File against a License with a File limit requires a connection to Licensor's servers at the time the File's migration starts. f) If Licensor's servers report that a License is revoked, expired, or invalid, the Software stops processing at once.
2.4 License Transfer
a) You may transfer your license to a different computer by first deactivating on the current machine. b) A six (6) month cooldown period applies between license transfers: a License may be deactivated again only six months after its previous deactivation. The first deactivation of a License is not subject to the cooldown. c) Contact Licensor support for emergency transfer requests (for example a lost or failed computer). The Licensee, or an Authorized Reseller acting on the Licensee's behalf, may make such a request. Licensor may release an activation or waive the cooldown at its discretion.
2.5 Pre-release Software
If the Software or a version of it is Pre-release Software, the following applies in addition to the rest of this Agreement, and prevails over it where they conflict:
a) Pre-release Software is provided for evaluation and testing. It may contain defects, may not operate as documented, and may be changed or withdrawn by Licensor at any time without notice; b) Licensor has no obligation to provide support for Pre-release Software, to correct its defects, or to release a final version; c) You should validate all output of Pre-release Software before relying on it, and You should not use it to change production Qlik Cloud content without such validation; d) Licensor may ask You for feedback on Pre-release Software; Section 4.3 applies to it; e) Where Pre-release Software is provided without charge, Licensor's total liability for it is limited as stated in Section 9.2.
3. RESTRICTIONS
You may NOT:
a) Copy or Distribute: Copy, modify, or distribute the Software except as expressly permitted (copies needed for an Installation and reasonable backup and archival copies are permitted); b) Reverse Engineer: Reverse engineer, decompile, disassemble, or attempt to derive the source code, except to the extent applicable law expressly permits it despite this restriction; c) Circumvent Protection: Bypass, disable, or circumvent any license validation, copy protection, or usage restrictions; d) Remove Notices: Remove, alter, or obscure any proprietary notices, labels, or marks; e) Sublicense: Rent, lease, lend, sell, sublicense, or transfer the Software to third parties, except as permitted by Sections 2.1(d) and 2.4 (a License sold through an Authorized Reseller is issued by Licensor directly to You and is governed by this Agreement); f) Competitive Use: Use the Software to develop a competing product or service; g) Misrepresent Usage: Falsify or manipulate file counts, Machine IDs, or activation data; h) Exceed Limits: Process more Files than permitted by your License Type.
4. INTELLECTUAL PROPERTY
4.1 Ownership
The Software is licensed, not sold. Licensor and its suppliers retain all right, title, and interest in the Software, including all intellectual property rights. This Agreement does not grant You any rights to trademarks or service marks of Licensor. "IntelliWarp", "IntelliWarp Migrate", and the IntelliWarp logo are trademarks of Licensor.
4.2 Your Content
You retain all rights to your QlikView applications, data, and the migrated output generated by the Software. Licensor claims no ownership of your content.
4.3 Feedback
Any feedback, suggestions, or improvements You provide regarding the Software may be used by Licensor without obligation to You.
4.4 Third-Party Marks and Software
a) Qlik, QlikView, Qlik Sense, and Qlik Cloud are trademarks of QlikTech International AB or its affiliates. Microsoft, Windows, and Microsoft Entra are trademarks of the Microsoft group of companies. Other names are the marks of their owners. The Software is not made, endorsed, or supported by Qlik or Microsoft, and Licensor is not affiliated with them. These names are used only to describe what the Software works with. b) The Software includes third-party open-source components, which are licensed under their own license terms. Nothing in this Agreement limits your rights under those terms.
5. DATA COLLECTION AND PRIVACY
5.1 Data We Collect
To enable license activation and validation, the Software collects and transmits to Licensor's servers:
a) Machine ID: The one-way hash described in Section 1.4. It is not derived from hardware identifiers and cannot be reversed into the values it was made from; b) Computer Information: At activation, the operating system platform, the processor architecture, and the computer's name (host name); c) License Key: Your assigned license key for validation; d) Activation Status: Whether the license is active, deactivated, or expired; e) File References: For each File counted against your License, a one-way hash of the License's grant identifier and the File's full path. Licensor receives these references and their number (for usage tracking against license limits), never the File's name or path; f) Software Version: Version number for compatibility and support purposes; g) Network Address: The IP address from which the Software connects, recorded with activations, deactivations, and requests that Licensor's servers flag for security and abuse detection.
An activation request for offline activation (Section 2.3(d)) carries the Machine ID and the computer information of item (b); You send it to Licensor yourself.
Separately, unless You turn it off (Configuration > Admin > Update Check), the Software asks Licensor's public release index whether a newer version has been published, at most once a day and only when the About dialog or the Admin settings are opened. That request carries no data about You or the Installation beyond what any internet connection reveals (your IP address). The Software never installs an update by itself.
5.2 Data We Do NOT Collect
The Software does NOT collect or transmit to Licensor:
a) Personal information (name, email, address) unless voluntarily provided (for example when You purchase a License or contact support); b) Contents of your QlikView applications or data files, including load scripts, Section Access tables, and data; c) Qlik Cloud credentials or API keys, or any other credential You enter in the Software (these are stored encrypted in the Software's data folder on your computer); d) File names, paths, or directory structures (only the one-way references of Section 5.1(e)); e) Network configuration or sensitive system information beyond the items listed in Section 5.1; f) The Software's logs, migration reports, or the record of who accepted this Agreement, which stay on your computer.
5.3 Data Usage
Collected data is used solely for:
a) License activation and validation; b) Enforcing license terms and usage limits, and detecting misuse of License Keys; c) Providing technical support; d) Improving the Software.
5.4 Data Protection
a) All data transmissions are encrypted using TLS 1.2 or higher; b) Data is stored on secure servers with industry-standard protections; c) We do not sell or share your data with third parties except with the service providers that host and operate our services, or as required by law.
5.5 Your Rights
Subject to applicable law, You may:
a) Request information about data collected about your license; b) Request deletion of your data (which will deactivate your license); c) Contact us at support@evilgenius.io for privacy inquiries.
Our Privacy Policy (legal/PRIVACY_POLICY.md, also shown in the Software) describes our data practices in more detail.
5.6 Services You Connect
The Software sends your content, data files, reports, and credentials directly to the services You configure, and not to Licensor: your Qlik Cloud tenant, your identity provider (for sign-in), Microsoft Entra or Active Directory (for the directory look-up), and the storage services You select (such as Amazon S3, Azure Blob Storage, Google Cloud Storage, Google Drive, OneDrive, or SharePoint). Your use of those services is governed by your agreements with their providers, and You are responsible for the fees they charge. Some functions of the Software rely on interfaces of Qlik Cloud that Qlik may change; such functions may stop working when Qlik changes them.
6. PAYMENT AND FEES
6.1 License Fees
a) License fees are specified at time of purchase and are non-refundable except as stated in Section 6.2. b) All fees are in United States dollars (USD) and exclude applicable taxes. c) Licenses are purchased once and carry no renewal fees. Files can be added to a Standard License later; each added File is priced at the per-File price of the original purchase. d) If You purchase a License through an Authorized Reseller, the fees, payment terms, and refunds are those agreed between You and the Authorized Reseller, and the License is issued by Licensor directly to You.
6.2 Refund Policy
a) Trial License: Free, no refund applicable. b) Standard License: Refund within 30 days of purchase if the Software fails to perform as documented and the issue cannot be resolved by support. c) Unlimited License: Refund terms as specified in your purchase agreement.
6.3 Upgrades
a) You may add Files to a Standard License as set out in Section 6.1(c), or upgrade to an Unlimited License by paying the difference in fees. b) Downgrades are not permitted; unused file allocations are not refundable.
7. SUPPORT AND UPDATES
7.1 Support
| License Type | Support Level |
|---|---|
| Trial | Community/documentation only |
| Standard | Email support (48-hour response) |
| Unlimited | Priority support with dedicated contact |
If You purchased your License through an Authorized Reseller, that reseller provides first-line support for its deployment; Licensor handles Software defects, documentation, and the License itself.
7.2 Updates
a) Minor updates (bug fixes, patches) of the major version You licensed are provided free of charge. b) Major version upgrades may require additional fees. c) Updates are provided at Licensor's discretion; no obligation to provide specific features. d) Updates are offered for download; the Software does not install them by itself.
8. WARRANTY DISCLAIMER
8.1 "AS IS" Provision
THE SOFTWARE (INCLUDING PRE-RELEASE SOFTWARE) IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
8.2 No Guarantee of Results
LICENSOR DOES NOT WARRANT THAT:
a) The Software will meet your specific requirements; b) Migrations will be error-free or complete; c) All QlikView objects or features will convert successfully; d) The Software will operate uninterrupted or be compatible with all systems; e) Defects will be corrected.
8.3 Your Responsibility
YOU ARE SOLELY RESPONSIBLE FOR:
a) Validating migrated applications before production use, including the access rules (Section Access) of migrated applications; b) Maintaining backups of original QlikView files; c) Ensuring compatibility with your Qlik Cloud tenant; d) Compliance with Qlik licensing requirements, including holding the QlikView license for the Windows account that runs the Software and the Qlik Cloud subscription it deploys to; e) The security of the computer, Windows account, network access, and sign-in configuration of each Installation.
9. LIMITATION OF LIABILITY
9.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY:
a) Indirect, incidental, special, consequential, or punitive damages; b) Loss of profits, revenue, data, or business opportunities; c) Cost of substitute goods or services; d) Damages arising from migration errors, data loss, or system downtime;
WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
9.2 Cap on Liability
LICENSOR'S TOTAL CUMULATIVE LIABILITY SHALL NOT EXCEED THE FEES ACTUALLY PAID FOR THE LICENSE GIVING RISE TO THE CLAIM, WHETHER PAID TO LICENSOR OR TO AN AUTHORIZED RESELLER, OR ONE HUNDRED UNITED STATES DOLLARS (USD 100) WHERE NO FEE WAS PAID (FOR EXAMPLE FOR A TRIAL LICENSE OR PRE-RELEASE SOFTWARE PROVIDED WITHOUT CHARGE).
9.3 Essential Purpose
THE LIMITATIONS IN THIS SECTION SHALL APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
10. TERM AND TERMINATION
10.1 Term
a) Trial License: 14 days, ending on the expiration date set when it is issued, subject to the 3-file limit. b) Standard License: Perpetual for purchased file count. c) Unlimited License: Perpetual.
10.2 Termination by You
You may terminate this Agreement at any time by:
a) Deactivating your license through the Software; b) Uninstalling and destroying all copies of the Software.
10.3 Termination by Licensor
Licensor may terminate this Agreement immediately if You:
a) Breach any term of this Agreement; b) Fail to pay applicable fees; c) Engage in fraudulent or illegal activity involving the Software; d) Attempt to circumvent license protections.
Licensor may then revoke the License, after which the Software stops processing (Section 2.3(f)).
10.4 Effect of Termination
Upon termination:
a) Your license rights cease immediately; b) You must uninstall and destroy all copies of the Software; c) Content already migrated to Qlik Cloud remains yours (Section 4.2); d) Provisions that by their nature should survive will survive (Sections 4, 5, 8, 9, 11, 12).
11. INDEMNIFICATION
11.1 By Licensee
You agree to indemnify, defend, and hold harmless Licensor and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
a) Your use of the Software; b) Your breach of this Agreement; c) Your violation of any third-party rights; d) Your migrated content or applications.
11.2 By Licensor (Unlimited Only)
For Unlimited licenses, Licensor will defend You against third-party claims that the Software infringes valid intellectual property rights, subject to the terms of your purchase agreement.
12. GENERAL PROVISIONS
12.1 Entire Agreement
This Agreement, together with your Order, constitutes the entire agreement between You and Licensor regarding the Software and supersedes all prior agreements, representations, and understandings. If You and Licensor have signed a separate written agreement for the Software, that agreement prevails where it conflicts with this Agreement.
12.2 Amendment
Licensor may update this Agreement from time to time. A new version is shown in the Software and applies to an Installation once it is accepted there; the Software does not process further until the new version is accepted. Material changes will also be communicated via email where we have your address.
12.3 Severability
If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision.
12.5 Assignment
You may not assign this Agreement without Licensor's prior written consent. Licensor may assign this Agreement freely.
12.6 Governing Law
This Agreement shall be governed by the laws of the Commonwealth of Massachusetts, United States of America, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this Agreement.
12.7 Dispute Resolution
Any disputes arising under this Agreement shall be resolved through:
a) Good faith negotiation; b) Mediation if negotiation fails; c) Litigation in the state or federal courts located in the Commonwealth of Massachusetts if mediation fails. Each party submits to the exclusive jurisdiction and venue of those courts, except that either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property.
12.8 Export Compliance
You agree to comply with all applicable export laws and regulations regarding the Software, including the U.S. Export Administration Regulations and the sanctions administered by the U.S. Department of the Treasury's Office of Foreign Assets Control. You may not export, re-export, or use the Software in a country or region subject to comprehensive U.S. sanctions, or for or by a person on a U.S. list of restricted parties, and You represent that You are not such a person.
12.9 U.S. Government Rights
The Software is "commercial computer software" and its documentation is "commercial computer software documentation" as those terms are used in 48 C.F.R. 12.212 and 48 C.F.R. 227.7202. If You are a U.S. Government entity, You acquire the Software only with the rights granted to all other licensees under this Agreement.
